These Terms of Service ("Terms") govern your use of the Relay website and services operated by Get Talky Inc. ("we," "us," or "our"), a Delaware corporation.

By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

Description of Service

Relay provides AI-assisted software and related early-access services for independent insurance agencies. Relay is designed to help teams prepare work and run bounded, configured insurance workflows, starting with quoting. Services may include:

• Preparing information from approved submissions and source documents
• Working configured steps in supported carrier portals and agency systems
• Returning results and supporting evidence for human review
• Guided workflow setup and related implementation services

Early-access capabilities, supported workflows, and availability may vary by agency, carrier mix, and system configuration. Joining the waitlist does not guarantee access or a particular launch date.

User Responsibilities

When using our services, you agree to:

• Provide accurate and complete information when registering or communicating with us
• Maintain the confidentiality of any credentials or access provided to you
• Use our services only for lawful purposes and in accordance with these Terms
• Review and verify all automation output before using it in your business operations
• Comply with all applicable laws and regulations in your use of our services

Intellectual Property

The Relay name, Get Talky Inc. name, logos, and all associated trademarks, service marks, and branding are the property of Get Talky Inc. You may not use these marks without our prior written permission.

Access to Relay and any agency-specific configuration is governed by the applicable service agreement. Unless otherwise specified in writing, intellectual property in Relay's software, models, workflow framework, and methodologies remains with Get Talky Inc.

Disclaimers

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee:

• Specific results or outcomes from using our automation services
• Uninterrupted or error-free operation of automation
• Compatibility with all carrier systems or portals (which may change at any time)

You are responsible for reviewing all Relay output and making final decisions about coverage, quotes, and client communications. Relay does not bind or issue coverage, make payments, or send client work without human action, and it does not override your agency's judgment or legal and regulatory responsibilities.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GET TALKY INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF OUR SERVICES.

Our total liability for any claims arising out of or relating to these Terms or our services shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Get Talky Inc. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your use of our services or violation of these Terms.

Termination

We may terminate or suspend your access to our services at any time, with or without cause, with or without notice. Upon termination, your right to use our services will immediately cease.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in Delaware.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of our services after any changes constitutes acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
